We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.

You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall OrthoBracing.com, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 14 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless OrthoBracing.com and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 15 - ARBITRATION, CLASS ACTION WAIVER AND GOVERNING LAW

PLEASE READ CAREFULLY. THIS ARBITRATION AGREEMENT AFFECTS YOUR LEGAL RIGHTS. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL ARBITRATION INSTEAD OF IN COURT. YOU GIVE UP YOUR RIGHT TO GO TO COURT, TO HAVE A JURY DECIDE YOUR CASE, AND TO JOIN A CLASS ACTION. YOU CAN OPT OUT WITHIN 30 DAYS (see A.9).

A.1 Talk to us first. Before starting any arbitration or court case, you must send a written Notice of Dispute to admin@orthobracing.com or Cognify Medical Supply, LLC, 1900 Bancroft Street, Suite J, Charlotte, NC 28206. It must include your name, your email, your order number, a description of the problem, and what you want. You must personally sign it, even if a lawyer helps you. We will try to resolve it within 30 days. Any filing deadline is paused during that period.

A.2 Agreement to arbitrate. You and Cognify Medical Supply, LLC ("we," "us," which includes our affiliates, officers, employees and agents) agree that any dispute or claim between us arising out of or relating to these Terms, our products, our websites, your orders, advertising, billing, warranties, or privacy ("Claims") will be resolved only by final, binding arbitration before a neutral arbitrator, not in court and not before a jury. This Section 15, including A.1 through A.13, is the "Arbitration Agreement." This applies to Claims whether based on contract, statute, tort or anything else. It does not apply to a Claim already in a pending lawsuit on the date shown in "Last updated" at the top of these Terms.

A.3 What is not covered.
(a) Either of us may bring an individual case in small-claims court if it qualifies.
(b) Either of us may go to court to stop infringement or misuse of intellectual property.
(c) Any Claim that applicable law does not allow to be required to go to arbitration, but only to that extent. The rest of this Arbitration Agreement still applies.
(d) Nothing here stops you from reporting a problem to, or cooperating with, a government agency (such as the FTC, the CPSC or the NC Attorney General), or from disputing a charge with your card issuer.

A.4 Rules and administrator. Arbitration will be run by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect when the case is filed (adr.org, 1-800-778-7879). If the AAA is unavailable or will not administer the case, we will use JAMS under its Consumer Minimum Standards, or another administrator we agree on. The Federal Arbitration Act (FAA) governs this Arbitration Agreement. The arbitrator must follow applicable law, may award any individual relief a court could (including statutory damages and attorney's fees where the law allows), and will give a written reasoned decision on request. Hearings will be by phone, video or written submissions unless the arbitrator decides an in-person hearing is needed. An in-person hearing will be held in the county where you live, or another place we agree on.

A.5 Fees. If your claim is for $75,000 or less, you pay no more than the AAA's consumer filing fee (currently $225 under the AAA consumer fee schedule). We pay all other AAA administrative fees and the arbitrator's compensation. We will not ask for our attorney's fees or costs unless the arbitrator finds your claim was frivolous or brought in bad faith. Each side otherwise pays its own lawyers unless the law or the AAA rules say differently. For larger claims, AAA rules decide fee allocation.

A.6 Class action waiver. You and we may bring Claims only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not combine claims of different people or preside over any class or representative proceeding, and may award relief only to the individual party and only as needed for that party's own claim. If a court finds this waiver unenforceable as to a particular claim or remedy (for example, a request for public injunctive relief), that claim or remedy is severed, goes to court, and is paused until the arbitration of everything else ends.

A.7 Multiple similar claims. If 25 or more similar Claims are filed against us by the same or coordinated lawyers, the AAA's Mass Arbitration Supplementary Rules (or the administrator's equivalent) apply. The administrator may group the cases into batches, run a small number of test cases first, and pause the rest. Fees are due only for cases that are actively moving. Filing deadlines for paused cases are tolled.

A.8 Who decides what (delegation) and severability. The arbitrator decides disputes about the meaning, scope and enforceability of this Arbitration Agreement, except that a court decides (i) whether an agreement to arbitrate was formed, and (ii) the enforceability of A.6 and A.7. If any part of this Arbitration Agreement other than A.6 is found unenforceable, that part is removed and the rest stays in force. If the whole arbitration agreement is found unenforceable, the court provisions of A.10 apply.

A.9 30-day opt-out. You may opt out of arbitration and the class waiver by emailing admin@orthobracing.com (subject line: "Arbitration Opt-Out") within 30 days after you first accept these Terms. Include your name, email, order number, and a statement that you opt out. Opting out affects only this Arbitration Agreement, not the rest of the Terms, and will not affect your orders or service.

A.10 Governing law and courts. North Carolina law governs these Terms and all Claims, without regard to conflict-of-law rules, except the FAA governs arbitration. This does not take away consumer protections that the law of your home state requires. For any Claim that is not arbitrated, the state and federal courts located in Mecklenburg County, North Carolina have exclusive jurisdiction, and each of us consents to that, except that you may still bring a small-claims case where you live.

A.11 Changes. If we change this Arbitration Agreement, the change applies only to orders placed after the new version is posted. It does not apply to Claims that already arose before the change or that are already pending. We will date each version and keep old versions available.

A.12 Survival. This Arbitration Agreement survives after your order is complete and after any termination of these Terms.

A.13 Claims that also involve someone else. If you bring a Claim against us in arbitration and also have a claim against a person who has not agreed to arbitrate with you (for example, a product manufacturer), your Claim against us stays subject to this Arbitration Agreement. We may, in our sole discretion and in writing, agree to resolve a particular Claim in court so it can be heard together with the other claim. That choice applies only to that Claim.

SECTION 16 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions. Paragraphs A.6 and A.8 of Section 15 control if any part of Section 15 is found unenforceable.

SECTION 17 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 18 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 19 - CHANGES TO TERMS OF SERVICE

You can review the most current version of the Terms of Service at any time at this page.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

Changes to Section 15 (Arbitration, Class Action Waiver and Governing Law) are governed by paragraph A.11 of that Section.

SECTION 20 - CONTACT INFORMATION

Questions about the Terms of Service should be sent to us at CS@orthobracing.com.

SECTION 21 - TEXT MESSAGING

In addition, you agree to our Messaging Terms (https://terms.pscr.pt/legal/shop/orthobracing/terms_of_service) and Messaging Privacy Policy (https://terms.pscr.pt/legal/shop/orthobracing/privacy_policy).
